Auto Hauler Exchange, Inc. (“AHX”, “we,” “our,” or “us”) operates a technology marketplace (the “Platform”) that enables licensed motor carriers ("Carriers") to connect with vehicle owners/shippers ("Shippers") who independently request vehicle transportation services.
AHX is not a transportation broker, motor carrier, or freight forwarder. AHX does not arrange, negotiate, or assume responsibility for transportation, and does not take possession, custody, or control of vehicles.
All transportation occurs under Carrier’s own operating authority and direct contract with the Shipper.
2) Carrier Eligibility & Compliance
Maintain valid USDOT and MC numbers, operating authority, and required insurance (cargo and liability).
Comply with all FMCSA, DOT, and state regulations; keep safety and compliance data current.
Authorize AHX to display Carrier business information and relevant performance indicators to Shippers.
3) Relationship of the Parties
Carrier acts as an independent contractor. Nothing herein creates an agency, employment, joint venture, or brokerage relationship between Carrier and AHX. AHX provides only software and payment facilitation tools and does not negotiate prices, select Carriers, or control service performance.
4) Platform Access & Conduct
Publish available lanes, capacity, and proposed rates; accept or decline Shipper offers; communicate and execute digital contracts directly with Shippers.
Provide information that is truthful, lawful, and accurate; perform each shipment in compliance with laws and safety standards.
No fraud, bid manipulation, or unauthorized subcontracting.
AHX may suspend or terminate accounts for misconduct, safety violations, or legal non-compliance.
5) Payment Processing & Fees
Funds Architecture
5.1 Direct Payment Structure
Transportation charges are paid directly between Shipper and Carrier.
AHX charges a separate, non-refundable technology/service fee for Platform access; this is not broker compensation and is not contingent on shipment price or outcome.
5.2 Payment Methods
FBO Custodial Account Structure
AHX facilitates payments through a bank partner using For-Benefit-Of (FBO) custodial accounts. Each user has a user-owned subaccount; funds are deposited into and disbursed from those subaccounts. AHX does not hold or control funds designated for transportation services and limits its role to technical facilitation, ledgering, and reconciliation.
Third-Party Processor Option
AHX may use a licensed payment processor to route funds from Shipper to Carrier; AHX receives only its separate platform fee from the processor.
Escrow-style holds (if used) may be applied by the bank partner or processor as fiduciary—not AHX—until completion is confirmed. AHX does not control release timing.
5.3 Taxes & Reporting
Carrier is solely responsible for all applicable taxes and regulatory filings arising from income earned on the Platform.
6) Neutral Marketplace Covenants
AHX does not negotiate, determine, or guarantee rates; does not select or assign Carriers; and does not take custody of vehicles.
Carrier shall not market or describe AHX as a brokerage service nor request AHX to act in that capacity.
7) Text Message & Email Communication
By providing your phone number and email address, you consent to receive text messages and emails from AHX regarding:
Marketing communications: Platform updates, promotional offers, and industry news (you may opt out at any time).
Emergency notifications: Important service updates, security alerts, and regulatory notices.
Compliance Notice: Text message and email communications comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other applicable federal regulations. Standard message and data rates may apply. You may opt out of marketing communications at any time by replying "STOP" to text messages or clicking the unsubscribe link in emails.
Data Security: We implement appropriate safeguards to protect your contact information and communication content.
Retention: Communication records may be retained for business, compliance, and legal purposes as required by applicable law.
8) AI & Automated Tools
Clearly disclose AI-generated content used for postings, messaging, or pricing; maintain human oversight.
No falsified capacity, fabricated reviews, price manipulation, impersonation, or spam.
AHX may audit AI use for safety, data integrity, and compliance.
9) Insurance & Liability
Maintain at least $1,000,000 auto liability and $100,000 cargo coverage (or higher if required by law).
Provide proof of insurance upon request.
Carrier bears full responsibility for loss, damage, theft, or delay while cargo is in Carrier’s care, custody, or control.
10) Disputes & Claims
Disputes between Shipper and Carrier are to be resolved directly by those parties. AHX may facilitate communication but is not a mediator or liable party and has no duty to resolve such disputes.
11) Warranty Disclaimer
The Platform and related services are provided “AS IS” and “AS AVAILABLE.” AHX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted operation.
12) Limitation of Liability
To the fullest extent permitted by law, AHX and its affiliates are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, data, or business. AHX’s total liability shall not exceed the technology fees paid by Carrier in the twelve (12) months preceding the event giving rise to liability.
13) Indemnification
Carrier shall indemnify, defend, and hold harmless AHX, its affiliates, and their personnel from losses or claims arising out of: (a) breach of these Terms or law; (b) operation of Carrier’s vehicles or services; (c) Carrier content (including AI-assisted content); or (d) taxes and regulatory liabilities associated with Carrier’s business.
14) Termination & Suspension
AHX may suspend or terminate Carrier access for regulatory non-compliance, safety violations, fraud, or non-payment. Upon termination, unpaid platform fees are immediately due. Provisions relating to liability, indemnification, and governing law survive termination.
15) Governing Law & Venue
These Terms are governed by the laws of the State of Michigan, excluding conflict-of-law rules. Exclusive jurisdiction lies in the state and federal courts of Oakland County, Michigan.

17) Entire Agreement
These Terms, together with AHX’s Privacy Policy and incorporated policies, form the entire agreement between AHX and Carrier.
AHX may update these Terms with or without notice; continued use signifies acceptance. No waiver is effective unless in writing.
If any provision is unenforceable, it will be enforced to the maximum lawful extent; the remainder stays effective.
Carrier may not assign these Terms without AHX’s prior written consent; AHX may assign to an affiliate or successor.
Auto Hauler Exchange ("AHX") is a technology platform that facilitates communication and contracting between independent vehicle shippers ("Shippers") and licensed motor carriers ("Carriers") for the transportation of vehicles. AHX does not act as a transportation broker, carrier, or freight forwarder as defined by the Federal Motor Carrier Safety Administration (FMCSA) and does not arrange or provide transportation for compensation. All transportation services are arranged directly between the Shipper and the Carrier, who negotiate rates, terms, and scheduling independently of AHX. AHX remains a neutral third party with respect to all communications, documentation, and transactions between users. AHX does not select, assign, or influence Carriers for any shipment, and does not negotiate or determine pricing for transportation services. All payments for shipments are processed exclusively through an independent third-party payment processor, and AHX does not handle, hold, or control user funds at any point in the transaction. AHX's role is limited to providing a digital marketplace that connects parties and enables the exchange of information necessary to facilitate lawful and transparent transportation agreements.
